This Vertical Basketball Court Rental Agreement ("Agreement") is made and entered into as of today's date (date signed) by and between Vertical LLC ("Vertical"), located at 2328 Jackson Downs Blvd Nashville, TN 37214, and the signee ("Renter").
1. Purpose of Agreement. Vertical agrees to rent to the Renter, and the Renter agrees to rent from Vertical, the basketball court located at 2328 Jackson Downs Blvd Nashville, TN 37214 ("Court") for the purpose of conducting basketball activities and other related events.
2. Rental Term. The rental term ("Term") shall commence and end on the date and time selected by the Renter in the Vertical scheduling system. The Renter and their guests will not arrive earlier than 15 minutes prior to the Term. The Renter and their guests shall vacate the Court promptly at the end of the Term.
3. Rental Fee and Payment. The total rental fee for the Court is $75 per hour for half court and $150 per hour for full court, unless otherwise agreed upon in writing by Vertical. Failure to pay the rental fee in full within 24 hours of booking confirmation may result in the cancellation of the reservation.
4. Use of Court. The Renter agrees to use the Court solely for basketball-related activities unless otherwise approved in writing by Vertical. The Renter shall not use the Court for any unlawful activities or any activities that may cause harm or damage to the Court, equipment, or facility.
5. Rules and Regulations. The Renter agrees to abide by all rules and regulations of Vertical, including but not limited to:
- No food, chewing gum, or drinks allowed on the Court.
- Proper athletic attire and non-marking shoes are required.
- No smoking, alcohol, or drugs are permitted on the Premises.
- No firearms or weapons of any kind are permitted on the Premises.
- The Renter is responsible for the conduct of all participants and spectators.
6. Assumption of Risk. The Renter acknowledges that participation in basketball and other physical activities involves inherent risks, including the risk of injury or death. The Renter voluntarily assumes all risks associated with the use of the Court and the participation in any activities thereon. Vertical shall not be liable for any injuries, damages, or losses sustained by the Renter, its guests, or participants.
7. Insurance Requirement (commercial purposes only). The Renter shall obtain and maintain liability insurance in an amount not less than $1,000,000 per occurrence, covering the use of the Court and any activities conducted therein. Vertical shall be named as an additional insured on the policy, and a certificate of insurance must be provided to Vertical prior to the start of the Term.
8. Indemnification. The Renter agrees to indemnify, defend, and hold harmless Vertical, its owners, employees, agents, and affiliates from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or related to the Renter's use of the Court and participation in any activities thereon.
9. Cancellation and Refund. If the Renter cancels the reservation 48 hours or more before the start of the Term, a full refund will be provided. No refunds will be issued for cancellations made less than 48 hours before the Term's start date.
10. Damage to Property. The Renter is responsible for any damage caused to the Court, equipment, or any part of the facility during the Term. The Renter agrees to reimburse Vertical for any repair or replacement costs within 30 days of receiving an invoice for such damages.
11. Termination of Agreement. Vertical reserves the right to terminate this Agreement at any time if the Renter violates any terms or conditions of this Agreement or engages in any behavior deemed unsafe or disruptive. In the event of termination, the Renter shall vacate the Premises immediately, and no refund will be provided.
